Terms of Service

These Terms of Service ("Terms") constitute a binding agreement between Domrin Consulting Group("Domrin", "we", "us") and the individual or entity engaging our services ("Client", "you"). By making payment, signing a proposal, or otherwise engaging Domrin, you accept these Terms in full.

Domrin provides strategy, operations, growth, and transformation consulting services as described in the applicable proposal, statement of work, or engagement letter ("SOW"). The SOW, together with these Terms and our Refund Policy, forms the complete agreement between the parties.

• Fees are due as set forth in the SOW or invoice. Unless otherwise stated, payment is due in full upon receipt.
• Payments may be made via Stripe-hosted payment links, bank transfer, or other approved methods.
• Late payments accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower.
• Domrin may suspend Services for any unpaid invoice older than seven (7) days.
• All fees are non-refundable except as expressly stated in our Refund Policy.

The Client agrees to provide timely access to information, personnel, and decision-makers reasonably required for Domrin to perform the Services. Delays caused by the Client may result in revised timelines and additional fees.

Upon full payment, the Client receives a non-exclusive, non-transferable license to use deliverables for its internal business purposes. Domrin retains ownership of all underlying methodologies, frameworks, templates, know-how, and pre-existing intellectual property.

Each party agrees to keep the other's confidential information in strict confidence and to use it only for the purposes of the engagement. This obligation survives termination for three (3) years.

Domrin warrants that Services will be performed in a professional and workmanlike manner. EXCEPT AS EXPRESSLY STATED, ALL SERVICES AND DELIVERABLES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR RESULTS. Domrin does not guarantee any specific business, financial, or operational outcome.

To the maximum extent permitted by law, Domrin's total aggregate liability arising out of or related to the Services shall not exceed the fees actually paid by the Client to Domrin in the three (3) months preceding the event giving rise to the claim. In no event shall Domrin be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, or loss of data, even if advised of the possibility of such damages.

The Client shall indemnify, defend, and hold harmless Domrin and its partners, employees, and contractors from any third-party claim arising out of (a) the Client's use of deliverables, (b) the Client's breach of these Terms, or (c) any information provided by the Client to Domrin.

Either party may terminate an engagement for material breach if the breach is not cured within fifteen (15) days of written notice. Upon termination, the Client remains liable for all fees for work performed up to and including the effective date of termination. Sections 5–9, 11, and 12 survive termination.

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Any dispute shall be resolved exclusively by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, seated in Wilmington, Delaware. Each party waives any right to a jury trial or to participate in a class action.

These Terms, together with the SOW and Refund Policy, constitute the entire agreement and supersede all prior agreements. If any provision is held unenforceable, the remainder shall remain in full force. No waiver is effective unless in writing. Domrin may update these Terms; the version in effect when payment is made governs that engagement.
